This Capital Pool Company's ('CPC') Amended and Restated Prospectus (the "Prospectus") dated November 21, 2008 has been filed with and accepted by TSX Venture Exchange (the "Exchange") and the Ontario Alberta and British Columbia Securities Commissions and the Saskatchewan Financial Services Commission effective November 26, 2008, pursuant to the provisions of the respective Acts. The common shares of the Company (the "Common Shares") will be listed on the Exchange on the effective date stated below.

The Company has completed its initial distribution of securities to the public. The gross proceeds received by the Company for the Offering were $200,000 (2,000,000 Common Shares at $0.10 per share).

Commence Date: At the opening Tuesday, February 24, 2009, the Common Shares will commence trading on TSX Venture Exchange.
