Emerge Oil & Gas Inc. - (the "Company") - An application has been granted for the original listing in the oil and gas category of 91,272,610 common shares of which 82,975,100 common shares will be issued and outstanding and 8,297,510 common shares will be reserved for issuance. The common shares have been qualified by a non-offering prospectus dated January 19, 2010.

The common shares of the Company will be listed and posted for trading at the opening on Wednesday, January 27, 2010.

The Company is subject to the reporting requirements of Section 501 of TSX's Company Manual.

On August 18, 2008, the Company was continued under the Business Corporations Act (Alberta) and its name was changed to "Emergo Energy Inc.". On June 10, 2009, the name of the Company was changed to "Emerge Oil & Gas Inc.".

Nature of Business: The Company is engaged in the business of oil and natural gas exploration, development, acquisition and production in western Canada.

Dividends: To date the Company has not paid any dividends on its outstanding common shares. The Company currently intends to retain earnings to finance the expansion of its business and does not anticipate paying dividends in the foreseeable future.
